Welcome to NRD Finance. These Terms of Service ("Terms") govern your use of the NRD Finance mobile application ("App") and any related services provided by us. By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Description of the Service

NRD Finance is a non-custodial (self-custody) cryptocurrency wallet software designed to help users manage their digital assets, interact with public blockchains (such as Base and Arbitrum), and connect to Decentralized Finance (DeFi) protocols via Account Abstraction (Smart Wallets).

Crucial Distinction: NRD Finance is merely a technological interface. We are not a bank, a brokerage, a crypto exchange, or a financial institution. We do not offer custodial services, we do not hold your funds, and we do not have access to your private keys.

2. Eligibility

To use NRD Finance, you must meet the following eligibility criteria:

  • You must be at least eighteen (18) years old and legally competent to enter into these Terms.
  • You must not be a resident of, or located in, any country or territory subject to comprehensive economic sanctions or trade embargoes (e.g., as maintained by the UN Security Council, OFAC, or other relevant sanctions authorities).
  • You must not be currently listed on any list of prohibited or restricted parties (such as the OFAC Specially Designated Nationals list).
  • Your use of the App must comply with all laws, rules, and regulations applicable in your jurisdiction.

3. Your Responsibilities and Private Keys

Because NRD Finance is a non-custodial wallet, you are the sole and exclusive owner of your digital assets.

  • Security of the Recovery Phrase: When you create a wallet, you may be provided with a Recovery Phrase (Seed Phrase) or underlying private keys. You are entirely responsible for keeping these credentials secure.
  • No Recovery by Us: If you lose your Recovery Phrase, PIN, or device, we cannot recover your wallet or your funds. We do not store backups of your keys on our servers.
  • Device Security: You are responsible for maintaining the security of the mobile device on which the App is installed, including keeping the operating system updated and protecting it against malware.
  • Independent Backups: You are solely responsible for storing a backup of your wallet's private keys or seed phrase outside of the App. If NRD Finance ever discontinues its services, having an external backup is the only way you will be able to restore your wallet and access your assets on another interface.

4. Risks of Digital Assets and Blockchain Transactions

By using the App, you acknowledge and agree that dealing with cryptocurrencies and interacting with decentralized networks involves significant risks:

  • Market Volatility: The value of digital assets can fluctuate wildly and drop to zero.
  • Irreversible Transactions: Blockchain transactions are generally irreversible. If you send funds to the wrong address, they cannot be recovered.
  • Network Fees and Failures: Interacting with blockchains requires the payment of network fees ("Gas"). We are not liable for any failed transactions, delayed transactions, or losses incurred due to incorrectly set transaction fees, network congestion, or insufficient funds.

You agree that NRD Finance shall not be held liable for any losses you incur as a result of these inherent risks.

5. Third-Party Services, DApps, and Smart Contracts

The App integrates with various third-party services and Decentralized Applications (DApps) to function effectively, including:

  • RPC Nodes (e.g., Coinbase Bundler, Alchemy) for broadcasting transactions.
  • Data aggregators (e.g., DefiLlama, CoinGecko) for price feeds.
  • DeFi protocols and Decentralized Exchanges (DEXs) for swaps and yield generation (e.g., Aave V3, 0x).

Assumption of Risk: We do not own, control, or operate these third-party protocols. Swaps, trades, and yield deposits are executed by independent smart contracts which may contain defects, bugs, or vulnerabilities. You are solely responsible for reviewing transaction details (amounts, slippage, destination) before confirming them. We make no warranties regarding their uptime, accuracy, security, or liquidity. Your use of any third-party service through our App is entirely at your own risk.

6. Taxes

It is your sole responsibility to determine what, if any, taxes apply to your cryptocurrency transactions. You agree that NRD Finance is not responsible for determining whether taxes apply, nor are we responsible for collecting, reporting, withholding, or remitting any taxes arising from any digital asset-related transactions.

7. Prohibited Uses

You agree not to use the App to:

  • Engage in any illegal, fraudulent, or malicious activity.
  • Facilitate money laundering, terrorist financing, or the evasion of international sanctions.
  • Attempt to hack, reverse engineer, decompile, or otherwise compromise the security of the App or its underlying infrastructure.
  • Use the App in any jurisdiction where dealing with cryptocurrencies is strictly prohibited by law.

8. Intellectual Property

All intellectual property rights in the App, including its design, user interface, logos, trademarks, and source code (excluding open-source libraries used), are the exclusive property of NRD Finance. You are granted a limited, non-exclusive, non-transferable license to use the App for your personal, non-commercial use, subject to these Terms.

9. Disclaimers and Limitation of Liability

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

To the maximum extent permitted by applicable law, NRD Finance disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be error-free, secure, or operate without interruption.

LIMITATION OF LIABILITY: To the maximum extent permitted by law, in no event shall NRD Finance, its developers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of digital assets, arising out of or in connection with your use of or inability to use the App, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all damages exceed the amount of one hundred US dollars ($100.00).

10. Arbitration & Waiver of Class Action

Please read this section carefully. It affects your legal rights.

You agree that any dispute or claim relating in any way to your use of the App will be resolved by binding arbitration, rather than in court. You and NRD Finance agree to arbitrate disputes on an individual basis and waive any right to bring a class action, class arbitration, or representative action.

11. Time Limitation on Claims

You agree that any claim you may have arising out of or related to your relationship with us must be filed within one (1) year after such claim arises, otherwise, your claim is permanently barred.

12. Changes to the Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this document or by providing notice within the App. Your continued use of the App after any such changes constitutes your acceptance of the revised Terms.
